Terms of Service

By accessing or using the PROSPECTORI platform (the "Service"), you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," "your") and PROSPECTORI ("we," "us," "our").

• "Service" means the PROSPECTORI web application, APIs, and all related services.
• "Credits" means the digital units purchased by Users to unlock lead data within the Service.
• "Lead Data" means the business information, Infrastructure Leak Scores, signal analysis, and AI-generated summaries provided through the Service.
• "User Content" means any content you create within the Service, such as notes, outreach status labels, and saved lists.

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements. The Service is intended for business use (B2B) and is not directed at consumers.

To use the Service, you must create an account with accurate and complete information. You agree to:

• Provide truthful, current, and complete registration information.
• Maintain the security and confidentiality of your login credentials.
• Notify us immediately of any unauthorised use of your account.
• Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or are used fraudulently.

PROSPECTORI is a B2B opportunity intelligence platform. The Service analyses publicly accessible business websites to identify signals that may indicate sales opportunities. It provides:

• Infrastructure Leak Scores based on technical and marketing signals detected on public websites.
• AI-generated business summaries and pitch angle suggestions.
• Publicly available business contact information.
• Tools to save, organise, and track outreach for leads.

The Service operates on a usage-based credit model. By purchasing credits, you agree to the following:

• Credit Consumption: Credits are deducted when you unlock a lead. Once a lead is unlocked, the data remains accessible in your account indefinitely. The credit cost per unlock is displayed before you confirm the action.
• Non-Refundable: All credit purchases are final and non-refundable. Due to the nature of digital data delivery, refunds cannot be issued for consumed credits. Unused credits do not expire and remain in your account.
• Payment Processing: Payments are processed securely by a PCI-DSS Level 1 certified payment processor. We do not store your credit card information.
• Currency: All prices are displayed and charged in US Dollars (USD) unless otherwise indicated.
• Fraud & Chargebacks: We reserve the right to suspend accounts associated with fraudulent transactions, chargebacks, or payment disputes.

You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service and Lead Data for your internal business development and B2B outreach purposes. You agree NOT to:

• Resell, sublicense, redistribute, or bulk-export Lead Data to build a competing product, database, or lead-generation service.
• Use Lead Data to send unsolicited bulk email (spam) in violation of the CAN-SPAM Act, GDPR, CASL, PECR, or any other applicable anti-spam or electronic communications law.
• Attempt to reverse-engineer, decompile, disassemble, or otherwise extract the source code, algorithms, or scoring methodologies of the Service.
• Use the Service for any illegal, harmful, or harassing purpose.
• Circumvent, disable, or interfere with any security, rate-limiting, or access control features of the Service.
• Use automated scripts, bots, or scrapers to access the Service (unless explicitly authorised via our API).
• Impersonate another person or entity, or misrepresent your affiliation.
• Share your account credentials or allow third parties to access your account.

Violation of these restrictions may result in immediate account suspension or termination without refund.

Lead Data, Infrastructure Leak Scores, and AI-generated content are provided on an "as-is" informational basis. You acknowledge and agree that:

• Scores and signals are estimates based on publicly available data at the time of analysis. They are not guarantees of business outcomes or opportunities.
• AI-generated summaries and pitch angles are machine-produced and may contain inaccuracies. You should verify all information before relying on it for business decisions.
• Business data (contact details, website signals) may become outdated between scans. We do not guarantee real-time accuracy.
• You are solely responsible for how you use Lead Data, including compliance with applicable outreach and data protection laws in your jurisdiction.

The Service — including its design, code, scoring algorithms, UI, branding, and documentation — is and remains the exclusive property of PROSPECTORI and its licensors. Nothing in these Terms grants you any ownership rights in the Service.

The underlying public company data analysed by the Service belongs to the respective website owners. PROSPECTORI does not claim ownership of third-party trademarks, business names, or publicly available factual data.

You retain ownership of all User Content you create within the Service (notes, saved lists, outreach statuses). By using the Service, you grant us a limited licence to store and display your User Content solely for the purpose of providing the Service to you.

We do not access, review, or use your User Content for any purpose other than delivering the Service, unless required by law.

The Service relies on third-party providers for payment processing, data hosting, email delivery, and other infrastructure as described in our Privacy Policy. Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices or content of third-party services.

Our total aggregate liability for any claims arising under these Terms shall not exceed the total amount you paid to PROSPECTORI in the six (6) months immediately preceding the event giving rise to the claim. This limitation applies regardless of the theory of liability (contract, tort, or otherwise).

You agree to defend, indemnify, and hold harmless PROSPECTORI, its operator, contractors, and service providers from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law, including anti-spam and data protection regulations; or (d) your use of Lead Data in a manner not authorised by these Terms.

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination:

• Your right to access the Service ceases immediately.
• Any unused credits are forfeited and are not refundable.
• We will delete your personal data in accordance with our data retention policy.

We may suspend or terminate your account immediately, without prior notice, if you breach these Terms or engage in fraudulent or abusive behaviour. Sections 6 (Billing), 8 (Data Accuracy), 12 (Disclaimer), 13 (Liability), 14 (Indemnification), and 17 (Governing Law) survive termination.

We reserve the right to modify these Terms at any time. Material changes will be communicated by updating the "Last Updated" date and, for significant changes, by notifying registered users via email at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration administered under the rules of the American Arbitration Association (AAA). The arbitration shall take place remotely (online) unless both parties agree otherwise.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened harm.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and PROSPECTORI regarding your use of the Service and supersede any prior agreements or understandings.
